General Terms of Sale and Use

1. Purpose
These General Terms of Sale and Use ("GTS-U") govern the access and use of the SaaS service SEOlovely (the "Service") published by HKC (the "Publisher"), by any natural or legal person (the "Client") who subscribes to a plan or uses the Service in free mode. Any subscription implies full and unreserved acceptance of these GTS-U.
2. Definitions
- Service: the SEOlovely platform, accessible as SaaS, including its SEO audit, crawling, monitoring and reporting features.
- Account: the Client's personal space giving access to the Service.
- User: any natural person authorised by the Client to access the Service via the Account.
- Subscription: the plan (Solo, Pro, Team, Agency, etc.) subscribed by the Client giving access to the corresponding features for a defined period.
- Client Data: all data uploaded, provided or generated by the Client via the Service.
3. Access to the Service
Access is available 7 days a week, 24 hours a day, except in cases of force majeure, planned maintenance or corrective interventions. The Publisher undertakes to inform the Client of significant planned maintenance, where possible 48 hours in advance.
The Service requires an internet connection, a compatible up-to-date browser and an activated account. The Client is responsible for the confidentiality of their credentials.
4. Registration and Account
Registration requires the provision of accurate and up-to-date information. The Client warrants that they hold the necessary rights and authorisations to submit sites, data and URLs to the Service.
Any Account may be suspended in the event of fraudulent, abusive or non-compliant use under these GTS-U.
5. Subscriptions and Free Trial
Subscriptions are taken out for a monthly or annual term, renewable by tacit renewal. A 14-day free trial may be offered on paid plans; no payment method is required to activate it.
The Client may upgrade or downgrade their Subscription at any time from their client area. For upgrades, the price difference is calculated pro rata. For downgrades, the new plan applies at the next billing date.
6. Pricing and Payment
Prices are shown in euros excluding tax. Applicable VAT is added in accordance with current regulations. Payment is made by credit card or direct debit, according to the means available on the platform. Any unpaid invoice, after formal notice with no effect, results in suspension of the Service.
7. Termination
The Client may cancel their Subscription at any time from their client area. Termination takes effect at the end of the current commitment period, without refund of amounts already paid.
The Publisher may terminate the Client's Account in the event of a serious breach, after formal notice remaining without effect for 15 days.
8. Service Level
The Publisher targets Service availability of 99.5% or more on a monthly basis, excluding maintenance and force majeure. Agency plan Clients benefit from a contractual SLA including priority support.
9. Personal Data
The processing of personal data is governed by the Privacy Policy, which forms an indivisible whole with these GTS-U.
10. Client Data and Confidentiality
Client Data remains the exclusive property of the Client. The Publisher uses it solely within the strict scope of Service delivery and feature improvement, and is prohibited from reselling it.
11. Intellectual Property
The Service, its interfaces, source code, analysis methods and design remain the exclusive property of the Publisher. The Client is granted a personal, non-exclusive and non-transferable right to use the Service for the duration of their Subscription.
12. Client Obligations
The Client undertakes to use the Service in accordance with its purpose, without attempting to compromise its integrity, security or availability, and to submit only sites for which they hold the necessary rights.
13. Liability
The Publisher cannot be held liable for indirect, intangible or consequential damages (loss of revenue, customers, reputation, etc.). In any event, the Publisher's liability is capped at the amounts actually paid by the Client over the 12 months preceding the triggering event.
14. Force Majeure
Neither party shall be held liable for failure to fulfil its obligations in the event of force majeure.
15. Amendments to the GTS-U
The Publisher may amend these GTS-U to adapt to Service evolution or regulation changes. New GTS-U take effect 30 days after notification to the Client.
16. Applicable Law and Jurisdiction
These GTS-U are governed by French law. Failing amicable resolution, any dispute shall be submitted to the competent French courts.
